Terms
and Conditions
10-7-00
General
1. These
terms and conditions are incorporated into all orders for
goods and services ("Goods") supplied by the Butterworths
Tolley division of Reed Elsevier (UK) Limited ("the Supplier")
except where goods are supplied under the terms of a software
licence.
2. Goods
delivered may differ in non-material respects from those advertised
in the Supplier's catalogue or other promotional material.
Price
3. Subject
to paragraphs 4 and 5 below the price payable for Goods shall
be the total price plus any cost of packaging, postage and
delivery as specified in the Supplier's current price list
or catalogue, less any discounts agreed in advance in writing
by the Supplier.
4. Discounts
agreed by the Supplier as at the date of these terms and conditions
shall continue to have effect for the remainder of the term
of the relevant agreement.
5. The
price payable for updating material to encyclopedic and looseleaf,
where these are not covered by the terms of an annual subscription
agreement, shall be the price advised by the Supplier at the
time of Publication.
Payment
Terms
6. Unless
otherwise agreed in writing by the Supplier all invoices are
payable within thirty (30) days in pounds sterling drawn on
a bank based in the UK or by such other method as is agreed
in advance by the Supplier.
7. Failure
to pay all amounts due by the due date may result in withholding
of further supplies including subscription supplies in respect
in respect of which the customer has made payment in full.
Credit
Terms
8. The
Supplier may set and vary credit limits from time to time
and withhold all further supplies if the customer exceeds
such credit limit.
Subscriptions
9. Subscriptions
run for a ful year and no credit will be given for cancellations
during the year.
Delivery
10. Orders
are accepted by the Supplier subject to availability of stock
and may be delivered in two or more installments. Time of
delivery is not of the essence. The Supplier has no liability
for any loss of trade or profit occuring to the customer as
a result of delay in delivery or deleivery of incorrect or
faulty goods.
11. Delivery
will be made to the business address of the customer or its
agent or to a carrier designated by the customer. Delivery
to an address in the UK or Eire is subject to such delievry
charges as appear in the Suppliers price list or catalogue.
Delivery outside the UK and Eire is at the cost of the customer.
12. Risk
in the Goods passes to the customer on delivery under paragraph
11 above. Title to Goods other than subscription products
will pass to the customer on payment in full. Title in subscription
items will pass on delivery.
Loss
or Damage in Transit
13. Claims
for damage or partial delivery must be notified within thirty
(30) days of delivery, and claims for complete loss of consignment
must be notified within thirty (30) days of the date of the
Supplier's statement of account for the period in which the
invoice was raised.
Except
as provided in (b) below all orders are firm and no returns
will be accepted for credit. Credit will be given for returns
which:
(i) are
received at the Supplier's warehouse within forty five (45)
days of the date of the invoice, and
(ii) are
accompanied by a copy of the original invoice or written authority
from the Supplier in the form designated by the Supplier from
time to time, in a condition fit for re-sale
The Supplier's
liability in all circumstances is limited to the cost of replacing
the goods ordered. Any waiver by the Supplier of any of these
terms and conditions shall be limited to the particular instance
and shall not operate or be deemed to operate as a future
waiver of that or any other term.
